# Summary of Activities by @tankbottoms(🎽,🍑) ``` Author: @tankbottoms(🎽,🍑) Date: 2022-09-25 ``` **Introduction:** This document provides an update in summary form of activities undertaken by @tankbottoms(🎽,🍑) for Juicebox. The following update is being provided on or about September 25, 2022, for Juicebox FC#32. The payout referenced below was for FC#33. **JBP-227 - Renew Tankbottom's recurring payout:** The following items were promised in the proposal referenced above: 1. To develop the full NFT cloud function processing backend; 2. to continue development of the NFT creation workflow; 3. to ship veBanny on-chain resources and assets; 4. to support any additional NFT efforts for the DAO; 5. to finish a Legal Resources section for info.juicebox.money; 6. to help dao-lawfirm.eth deliver all the opinion letters; 7. to work on a website which allows for credit/debit card payments to Juicebox projects; and, 8. to possibly figure out a legal framework for the DAO and its partners. **Summary Response:** 1. **Develop the full NFT cloud function processing backend.** The Cloud Functions which aid in the NFT creation workflow are in part [located here](https://github.com/DAOLABS-WTF/juice-interface-svelte/tree/main/functions). The NFT contracts are [located here](https://github.com/DAOLABS-WTF/juice-contracts-v3/tree/feat/extensions/contracts/extensions). The development activities are complete but subject to change during the current integration phase. 2. **Continue development of the NFT creation workflow.** The [NFT Creation Workflow](https://daolabs-nft-tooling.on.fleek.co/) is under development, and can be accessed by selecting ["Create Token" on this page](https://daolabs-nft-tooling.on.fleek.co/user). Designs are available on [Figma](https://bit.ly/3BJ32R4). While the NFT creation workflow is largely complete, the system as a whole is not: searching for collections, searching for arbitrary NFTs, landing pages for NFTs, and other user experience improvements are in the process of being identified and worked on. We are currently trying to complete a full integration of all the relevant codebases and features so that we may start integrating contracts. 3. **Ship veBanny on-chain resources and assets.** See: - The update document, - the [on-chain veBanny contracts](https://github.com/tankbottoms/vebanny-bannyverse-on-chain/tree/csc-auction/solidity/contracts), - the [on-chain veBanny and BannyVerse assets](https://github.com/tankbottoms/vebanny-bannyverse-on-chain), - the [veBanny Token detail](https://vebanny-token.on.fleek.co/?banny=20&lock=5), - the [complete character grid](https://vebanny-token.on.fleek.co/secret.html), - the [on-chain font generation of lock periods](https://vebanny-token.on.fleek.co/backgrounds.html), - the [BannyVerse source code](https://github.com/tankbottoms/bannyverse-app), and - the [BannyVerse Website](https://app.bannyverse.xyz/). This code has been complete for some time. It was reviewed by members of the contract crew, and the DAO has since conveyed that deploying on-chain Banny assets is not a priority. Other development efforts were prioritized over veBanny. See Jango for the prioritizing of ve staking. The BannyVerse App has been done for some time. 4. **Finish Legal Resources section for info.juicebox.money.** The legal resources were originally scoped to an Introduction section (see [Legal Resources](https://legal.juicebox.wtf/legal/intro/README.md)). An Introduction section, as well as other pages, were completed within a Legal Resources branch of juice-docs-v2 (which has since been moved). The scope of this activity was significantly expanded to encompass a comprehensive legal resource containing legal templates for most entity types with in the United States: see [Legal Tool](https://legal.juicebox.wtf/). The value of the contracts therein are the cumulative result of millions of dollars and thousands of hours of legal expertise. In at least three recent cases, the C Corporation template documents available on the Legal Tool have been utilized in Series A raises resulting in valuations greater than $100,000,000 (a hundred million dollars). These templates are the work-product from over half-dozen law firms, and more than 15 years of legal activity. Costs associated with the acquisition and use of those documents for this tool have been borne by tankbottoms.eth. Structurally, this tool is mostly complete; yet, the template variables and legal document templates require an additional 20+ hours of proofing, reading, and legal and technical improvements in order to remove inconsistencies such as standardizing signature blocks and introducing input arrays for variables. The docx/PDF export tool is in progress, and while it has been implemented, the quality of the output is not sufficient for production. The tool currently allows markdown export. 5. **Work on a website which allows for credit/debit card payments to Juicebox projects.** Per the update document, the integration of Bolt and Wyre are complete; however, they require the service company to be an entity (see legal framework section). 6. **Help dao-lawfirm.eth deliver all the opinion letters.** As per the update document, I have updated the opinion letters and the lawfirm's engagement agreement. Both are currently under the law firm's review. Once the review is complete, this task will be complete within 24 hours. 7. **Possibly figure out a legal framework for the DAO and its partners.** The contents of the above referenced legal resources substantially completes this task. The creation of the legal resources tool **over-delivers** on this by providing a comprehensive legal resource for the DAO and its partners. The legal framework for the DAO has also been completed in the assessment. I can write this letter for the lawfirm to review or provide a summary here. I will do the later: JuiceboxDAO should form a Unincorporated Nonprofit Association substantially in the form of the [previously drafted guiding principals](https://app.pinata.cloud/pinmanager#:~:text=20220922%20guiding%2Dprinciples.md) - consensus on the membership terms would be useful. JuiceboxDAO then should file for an EIN such that a bank account and the F990 can be completed. Likely, JuiceboxDAO will have to reduce its payouts substantially in order to address any additional regulatory expenses. While this bullet point was marked _possibly_, non-trivial time was spent researching the most palatable options and no DAO authority to pursue these paths was provided nor sought, so the Juicebox activity was not pursued beyond to the aforementioned guiding principals. Nonetheless, an accounting memo was created and several meetings have been had/scheduled, and a framework of what future activities should be pursued with the goal to ensure 1) U.S federal law compliance, 2) tax compliance, 3) retention of as much capital as legally possible, 4) outlining the fastest most secure path to establishing the public-goods non-profit entity. 8. **Governance.** Tankbottoms holds 35,843,874.55644 JBX, currently valued at $86,275.72 USD, acquired at an average cost of $0.004599, of which $254.65 USD of fees were paid, for a grand total of ($76,882.10) USD or -$76,882.10 USD in the red for a total of $163,157.82 USD. Thus, Tankbottoms has a vested interested in the success of Juicebox and its projects.
