Terms and Conditions for Piccadilly Circus Games Competition ============================================================ Last updated: March 8th, 2023 Thank you for joining the limited-time Piccadilly Circus Games Competition ("PCGC"), a series of challenges run on test networks for a new blockchain protocol named Autonity. Autonity is an open source, permissionless byzantine fault-tolerant proof-of-stake blockchain protocol that is Ethereum virtual machine compatible ("Autonity Protocol"). PCGC allows interested persons or legal entities that meet its eligibility criteria ("Participants") to engage with early versions of the Autonity Protocol deployed on the test networks ("PCGC Networks" or "Testnets"), including but not limited to the Bakerloo test network ("Bakerloo") and Piccadilly test network ("Piccadilly"). Participants compete to accumulate Games Points ("GP") based on their fulfilment of pre-defined challenges and tasks. Participants meeting predefined criteria which take into account GPs earned ("Winners"), will be eligible to receive game awards ("Awards") as outlined within the description of awards in the PCGC website ("PCGC Website"). All Awards will be distributed after the main network launch ("Mainnet Launch") of a blockchain network powered by the Autonity Protocol ("Autonity Network") with its launch coordinated by the Autonity Genesis Foundation ("AGF"). Awards may change without prior notification to Participants. A service provider appointed by the AGF will administer the PCGC and will represent AGF in all dealings concerning the PCGC ("Service Provider"). The Service Provider will announce the PCGC’s commencement date and thereafter its termination date(s), in the future. The commencement and termination dates determine the duration of the PCGC ("PCGC Period"). Participation in PCGC is subject to the PCGC’s privacy policy ("Privacy Policy"), these Terms (the "Terms"), and all other agreements or terms as set forth on the PCGC Website. These Terms constitute a binding obligation between you and the Service Provider. Clearmatics Technology Services Limited ("CTSL") based in Dubai, UAE, has been appointed by AGF as the Service Provider. YOUR PARTICIPATION IN THE PCGC IS ENTIRELY VOLUNTARY. SHOULD YOU CHOOSE TO PARTICIPATE IN THE PCGC, YOU MUST STRICTLY ADHERE TO THESE TERMS. IF, AS PART OF YOUR VOLUNTARY PARTICIPATION, YOU MEET THE CRITERIA LISTED BELOW, YOU MAY BE ELIGIBLE TO RECEIVE GPs WHICH IN TURN WOULD MAKE YOU ELIGIBLE FOR RECEIVING AWARDS UPON MAINNET LAUNCH. 1. Agreement to Terms. ---------------------- By using the Autonity Protocol during the PCGC Period, including the features, technologies and functionalities offered by the Service Provider to you through websites, apps, or through other means ("Autonity Technologies") and by participating in PCGC, you agree to be bound by these Terms. If you do not agree to be bound by these Terms, please do not participate in the PCGC. If you are accessing and participating in PCGC on behalf of a legal entity, you represent and warrant that you have the authority to bind that legal entity to these Terms. In that case, "you" and "your" will refer to that legal entity. 2. Privacy Policy. ------------------ Please refer to PCGC’s privacy policy available within the PCGC Website ("Privacy Policy"). This Privacy Policy outlines the acceptable usage of any information you may provide to the Service Provider, and any information the Service Provider may derive or generate from your interactions. You acknowledge and agree that your participation in PCGC is subject to this Privacy Policy and your participation confirms the acceptance. IMPORTANT NOTICE REGARDING ARBITRATION: BY AGREEING TO THESE TERMS, YOU AGREE (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE BETWEEN YOU, THE SERVICE PROVIDER AND THE AGF, THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN ANY COURT OF LAW. PLEASE REVIEW CAREFULLY SECTION ENTITLED "DISPUTE RESOLUTION" BELOW FOR DETAILS REGARDING ARBITRATION. 3. Changes to Terms. -------------------- The Service Provider is authorised to update the Terms at any time, without any prior notification. It is important that you actively monitor the PCGC forums such as the Autonity Discord channel ("Discord Channel"), PCGC Website, repositories, or related web pages for updates to the Terms (collectively termed "PCGC Forums"). If you continue to participate in PCGC after the Service Provider has posted updated Terms, you are bound by the updated Terms from the moment of their announcement. If at any time you do not agree to be bound by the updated Terms, then you may not and should not continue to participate in PCGC, commencing the moment of your disagreement with the Terms. Due to the nature of test networks, PCGC will evolve over the PCGC Period, and the Service Provider is authorised to change or even discontinue all or any part of PCGC, at any time, and without notice, at its sole discretion. 4. Eligibility. --------------- Participants (and the entities that they are affiliated with where applicable) shall: (a) Be at least 18 years of age and eligible under prevailing laws to be party to a legally binding contract; (b) Not be a citizen or resident of any jurisdiction designated by any applicable United Nations, European Union, EU country, UK, or by a US governmental body declaration as a country supporting international terrorism, or with which U.S. nationals or residents may not lawfully engage in commercial transactions as designated by the Office of Foreign Assets Control and its searchable database of sanctioned countries located at ("OFAC List"), including without limitation Russian Federation, Cuba, Democratic People’s Republic of Korea, the Crimea region of Ukraine, Venezuela, Belarus, Iran, and Syria; (c) Not be a person that appears on the OFAC List; (d) Not have affiliations with, nor have ever executed any form of transaction with an entity or individual appearing on the OFAC List; (e) Not be barred from participating in events such as the PCGC under the prevailing laws of your jurisdiction or domicile; (f) Not be an employee, consultant, or affiliate of the Service Provider or AGF; and (g) Register for the PCGC in conformance with the Terms, providing complete and correct information. Submission of a registration form and fulfilment of the eligibility criteria does not guarantee you a participation opportunity in the PCGC. The Service Provider reserves the right, in its sole discretion, to reject or refuse participation of any applicant even after successful registration. If you are a Winner, you will be required to provide certain identifying documentation and information ("KYC Information") according to the prescribed KYC process to be eligible to claim your Awards. Failure to provide such KYC Information and/or a failure to demonstrate compliance with the restrictions or eligibility criteria herein may result in termination of your participation, forfeiture of GPs or Awards, prohibition from participating in future Testnet challenges, and other actions, at any time. You agree to comply with all applicable national, international, and local laws, ordinances, and regulations in connection with your participation in PCGC and receipt of Awards. Nothing herein shall constitute an employment, consultancy, joint venture, or partnership relationship between you, AGF or its Service Provider. 5. Data Handling Policy. ------------------------ By participating in the PCGC you consent that any data you submit during the course of your PCGC participation, and any data that is generated and transmitted by any IT system or service (or its subsidiary) you use in connection with PCGC, may be captured, stored, processed, evaluated, and shared as necessary by AGF and its affiliates, including third parties, for the specific purpose of PCGC participation, which includes the purpose of improving PCGC rules and implementation; and in addition for the purpose of AGF and its affiliates addressing to you future communications relating to its testnets, mainnet, projects, products, and community building efforts. 6. Description of PCGC. ----------------------- The PCGC will operate in rounds, with each round focused a specific aspect of the Autonity Protocol. Amongst other reasons, PCGC is designed to allow potential validator node operators to gain operational experience, establish best practices, test Autonity Protocol features, and provide inputs to improvements of the Autonity Technologies. You understand that winning is contingent on these Terms. You further understand and agree that: a. Access to PCGC will require the use of computers and/or mobile devices, as well as communications with or use of data and storage on such devices. You are responsible for any Internet connection and related fees or charges that are incurred as part of your voluntary participation in PCGC. b. Certain information, including your digital wallet address and on-chain transaction records, are all public information and can be accessed by anyone, including participants and non-participants of PCGC, and may be stored, processed, and accessible to any party without any time limitation. c. Security or other audits initiated by the AGF, its Service Provider or third parties may access user data and could result in the exposure of said data. d. Exposure of data provided for the PCGC may provoke actions from telecommunication providers and other third parties. 7. PCGC GPs and Awards. ----------------------- Participants will accumulate GPs during the PCGC Period for their contributions to specific activities such as – by way of example – running a validator or full node, finding bugs, and creating content; among other activities that will be posted in relevant sections of the PCGC Website. In addition, other contributions arising from PCGC participation may be eligible for Awards, as specified from time to time in the PCGC rules published on the PCGC Website. a. The PCGC Website describes the Awards for which Winners will be eligible after Mainnet Launch of the Autonity Protocol. b. As outlined earlier, all Winners will be required to provide KYC Information, necessary attestations, and other information requested by the Service Provider. Winners will be subject to any terms, conditions, and limitations applicable to the Awards at Mainnet Launch. Participants who are unable or unwilling to provide the KYC Information, or Participants who cannot receive Awards for any reason will forfeit their right to any Awards. c. The Service Provider reserves the right to block all access to the PCGC for any Participant, to remove or reallocate any GPs won, and consequently, designate an alternative Winner in case of any violation of the Terms (as determined solely by the Service Provider) by a winning Participant, or in the event a Participant become ineligible due to any other reason. d. You are responsible for the payment of all taxes associated with your receipt of the Awards, if applicable. You agree to provide the Service Provider with any additional information and complete any required tax or other forms relating to your receipt of the Awards. e. You shall not act in bad faith ("Cheat") to earn GPs for the duration of the PCGC. The Service Provider has the right to void all GPs earned as a consequence of Cheating, and to strip the Participant of residual GPs (earned in good faith separate from the ones earned by Cheating). If you are found to have withheld or tampered with relevant information or to have misled the Service Provider in an investigation, you will be deemed ineligible. You are encouraged to voluntarily report instances of Cheating to the Service Provider. 8. Wallet. ---------- If you use a digital wallet application, you are responsible for the management of the private keys for your digital wallet(s). AGF or its Service Provider does not and will not manage, store, collect or otherwise access the private keys for your digital wallet(s). You are responsible for all activities that occur using your digital wallet, whether you are aware of them or not. 9. Intellectual Property. ------------------------- Any intellectual property shared or developed during and within the scope of the PCGC must be open sourced and licensed under one of the licenses referenced under . The license(s) selected must be clearly stated along with the contributions, on submission forms associated with PCGC rounds or on pages that are made available to all participants. Each PCGC round may have specific limitations on the licenses that are accepted for submissions which will be made known prior to the start of the round. In submitting intellectual property to the PCGC, you represent and warrant that submitted content is not copyrighted, protected by trade secret or otherwise subject to third party intellectual property rights or other proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to submit the content such as with open source software. Intellectual property shall include feedback, comments, and suggestions for improvements to the Autonity Technologies and the Mainnet Launch of the Autonity Protocol ("Feedback"). You warrant that any comments submitted on PCGC Forums will be done so under a Creative Commons Public Domain License (). 10. General Prohibitions and AGF’s Enforcement Rights. ------------------------------------------------------ You agree to the following: a. To follow the Autonity community conduct rules as provided within the PCGC website ("Code of Conduct") here ; b. You will not Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending malware, overloading, flooding, spamming, creating, encouraging or implementing Sibyl attacks or mail bombing PCGC (including all communication channels), unless explicitly suggested by a PCGC security bounty program or other PCGC game challenge, as described on the PCGC Website; c. You will not impersonate or misrepresent your affiliation with any person or entity; d. You will not violate any applicable law or regulation; and e. You will not encourage or enable any other individual to do any of the foregoing or otherwise violate the Terms. Although AGF or its Service Provider are not obligated to monitor access to or participation in PCGC, they have the right to do so for any purpose. AGF reserves the right, but is not obligated, to suspend or terminate Service Provider at any time and without notice. AGF has the right to investigate violations of the Terms or conduct that affect Service Provider. AGF or the Service Provider may consult and cooperate with law enforcement authorities to prosecute those who violate the law with respect to the PCGC or the Autonity Technologies. 11. Cancellation, Suspension or Termination of PCGC. ---------------------------------------------------- AGF or its Service Provider may, at their sole discretion, with or without prior notice and at any time, modify or terminate, temporarily or permanently, any portion of PCGC. 12. Representations, Warranties and Disclaimers. ------------------------------------------------ a. You accept and acknowledge that there are risks associated with using any cryptocurrency related network such as the Autonity Network, including, but not limited to, the risk of unknown vulnerabilities in or unanticipated changes to the network protocol. You acknowledge and accept that the Service Provider has no control over any cryptocurrency network and will not be responsible for any harm occurring as a result of such risks. You have a sufficient understanding of the functionality, usage, storage, transmission mechanisms, and other material characteristics of cryptographic tokens, token storage mechanisms (such as token related digital wallets), distributed ledger technology, and decentralized software systems to understand the terms of the PCGC and to appreciate the risks and implications relating to PCGC and the Awards. b. You accept and acknowledge that there are risks associated with participating in PCGC beyond those presented by cryptocurrency networks including, but not limited to, the risk of failure of hardware, software, and internet connections. You accept that you risk the introduction of malicious software, loss of tokens held in your digital wallet(s) and unwanted data exposure to third parties that compromise or otherwise obtain unauthorised access to your systems. These may be the consequence of: any activity on the Testnets using Autonity Technologies or other technologies necessary to do so; usage of Autonity Technologies outside of the Testnets while developing, testing or use of any kind; and any other activity associated with PCGC participation. You accept and acknowledge that the Service Provider will not be responsible for any losses, failures, disruptions, errors, distortions or delays you may experience when participating in PCGC or the Autonity Network, however caused. c. You must ensure that your digital wallet credentials (private keys and any secrets and technologies used in accessing and using your digital wallets) are secure. You should avoid copying scripts into your browser address bar, and avoid clicking on links, opening attachments, or visiting Internet resources you do not trust. It is incumbent upon you to maintain good security practices and cyber hygiene including maintaining adequate security and control of all IDs, passwords, hints, personal identification numbers (PINs), or any other codes that you use to access your digital wallet or in relation to PCGC. d. The Service Provider will not be responsible nor liable to you for any loss for your participation in PCGC, including but not limited to any losses, damages or claims arising from: (I) user error such as forgotten passwords, lost or missing private keys, incorrectly constructed transactions, or mistyped addresses; (ii) server failure; (iii) corrupted digital wallet files; (iv) unauthorised access to applications; (v) any audit activity; or (vi) any unauthorised third party activities, including but without limitation the use of malware, phishing, brute forcing or other means of attack against the PCGC and the Autonity Network. e. The Service Provider will not make any warranty that PCGC and Autonity Technologies, including the servers that make the PCGC, Testnets and Autonity Network available are free of malware or errors, nor that any network service will be uninterrupted, nor that defects will be corrected. The Service Provider makes no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness or reliability of any information or materials offered in connection with PCGC, including but not limited to, information provided on the PCGC Forums and within the PCGC Website. The Service Provider will not be responsible or liable to you for any loss of any kind, from action taken, or not taken, in reliance on material, or information, contained or made available through the PCGC. f. Any Awards that you may ultimately receive as a result of your participation in PCGC are provided "as is", without warranty of any kind. Without limiting the foregoing, the Service Provider explicitly disclaims any implied warranties of merchantability, fitness for a particular purpose, value, quiet enjoyment and non-infringement, and any warranties arising out of course of dealing or usage of trade. You assume all risk and liability for the results obtained by the use of Autonity Technologies and any received Awards and regardless of any oral or written statements made by the AGF or the Service Provider, by way of technical advice or otherwise related to any tokens. Any tokens that you may receive in the course or as a result or consequence of your participation in PCGC, including as Awards, may not have a market and may have no value. g. You accept and assume all risks and liabilities of participating in PCGC. h. You may suffer adverse tax consequences as a result of your participation in PCGC. You hereby represent that (i) you have consulted with a tax adviser that you deem appropriate in connection with your participation, or that you have had the opportunity to obtain tax advice but have chosen not to do so, (ii) the Service Provider has not provided you with any tax advice with respect to your participation, and (iii) you are not relying on the Service Provider for any tax advice. You agree to be fully responsible for any taxes resulting from your PCGC participation. 13. Indemnity. -------------- You will indemnify and hold harmless AGF, its affiliates including its Service Provider and their respective officers, directors, employees and agents (together, the "Released Parties"), from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with (i) your access to or participation in PCGC, (ii) your violation of the Terms, and (iii) acceptance or use of Awards delivered to you in connection with PCGC. 14. Limitation of Liability. ---------------------------- a. Neither the Released Parties nor any other Party involved in PCGC will be liable for any incidental, special, exemplary or consequential damages, or damages for lost profits, lost revenues, lost savings, lost business opportunity, loss of data or goodwill, service interruption, computer damage or system failure or the cost of substitute activities of any kind arising out of or in connection with these terms or your participation in, or inability to participate in, PCGC, whether based on warrant, contract, tort (including negligence), product liability or any other legal theory, and whether or not the Service Provider or any of its related parties or any other party has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose. Participants from jurisdictions wherein liability limitations are untenable under law may fall outside the purview of this clause. b. In no event will the Released Parties’ total liability to you arising out of or in connection with these Terms or from the participation in, or inability to participate in PCGC, exceed One Thousand U.S. Dollars (US\$1,000). c. THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE ARRANGEMENT BETWEEN THE SERVICE PROVIDER, AND YOU. 15. Governing Law and Forum Choice. ----------------------------------- These Terms will be construed and governed by the laws of the United Kingdom, without reference to conflict of laws principles. Any proceeding relating to or arising from this Agreement may be brought only in the Courts of Dubai International Financial Centre, Dubai, United Arab Emirates, and the parties hereby waive any objections to jurisdiction or venue of any such court. 16. Dispute Resolution. ----------------------- Each party hereby waives any right to jury trial in connection with any action or litigation in any way arising out of or related to these Terms. In case of any dispute, controversy or claim arising out of or in connection with these Terms (including the validity, invalidity, breach, or termination thereof), the parties shall use all reasonable attempts to amicably settle the dispute through their respective senior management having authority to settle the dispute. If, after using all reasonable attempts, during a period which shall not exceed ninety (90) calendar days of a party’s delivery of written notice to the other pursuant, senior management of the parties cannot amicably resolve such dispute, the parties shall opt for final and binding arbitration in accordance with the Arbitration Rules of the DIFC-LCIA Arbitration Centre, incorporating any amendments thereto published on or before the date of such dispute ("Rules"). In the event of arbitration, the seat, or legal place, of arbitration, shall be Dubai (DIFC-LCIA Arbitration Centre) and the arbitration panel shall consist of three (3) arbitrators. Each party shall appoint one (1) arbitrator and the third is to be appointed by agreement of the two (2) arbitrators appointed in accordance with the Rules. Any arbitration proceedings shall be exclusively conducted in English. All arbitration proceedings shall be strictly confidential. The parties agree that the decision of the arbitration shall be final and binding and their legal successors and may be enforced in the courts of Dubai, United Arab Emirates. Notwithstanding any provision to the contrary in these Terms, this clause shall survive expiration or termination of these Terms and upon the occurrence of such event shall take effect as an independent arbitration agreement. YOU AND THE SERVICE PROVIDER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING. Further, unless both you and the Service Provider agree otherwise, the arbitrator may not consolidate more than one party’s claims with your claims and may not otherwise preside over any form of a representative or class proceeding. If this specific provision is found to be unenforceable, then the entirety of this Dispute Resolution section shall be null and void. 17. General Terms. ------------------ a. Entire Agreement. These Terms constitute the entire and exclusive understanding and agreement between AGF or its Service Provider and you regarding the PCGC, and the Terms supersede and replace all prior oral or written understandings or agreements between the Service Provider and you regarding the PCGC. If any provision of the Terms is held invalid or unenforceable by an arbitrator or a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the other provisions of the Terms will remain in full force and effect. You may not assign or transfer the Terms, by operation of law or otherwise, without the Service Provider’s prior written consent. Any attempt by you to assign or transfer the Terms, without such consent, will be null and void. The Service Provider may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns. The Released Parties other than the AGF are third-party beneficiaries of these Terms. b. Notices. Any notices or other communications provided by the Service Provider under the Terms, including those regarding modifications to the Terms, will be given by posting to PCGC Forums. c. Waiver of Rights. The Service Provider's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of the Service Provider. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise. 18.
